Soft launch agreement preview
This is a plain-English preview of the no-charge working agreement and data/content protection terms for the Ngesh Cuisine website, content, ordering, and marketing direction.
No-charge soft launch scope
Ni Biashara LLC will help Chef Esther / Ngesh Cuisine map and soft-launch the digital direction before any paid build, advertising, delivery automation, domain purchase, or long-term service agreement is approved.
Included during this no-charge phase
- Website direction, page structure, design concepts, and preview builds.
- Chef Esther story, menu, catering, private chef, and pickup-order positioning.
- Social media alignment and content planning.
- Asset intake, organization, and launch preparation.
- WhatsApp, Telegram, PayPal, pickup, and catering inquiry workflow planning.
- Uber delivery/readiness research for Ngesh Cuisine catering pickup orders only.
- Organic marketing strategy and paid-ad recommendations.
Actual costs
No paid action should be taken without approval for that specific action. Possible costs include domain purchase, hosting, paid ads, software, APIs, payment processor fees, delivery tools, or professional photo/video services.
Payment and launch boundary
Payments should go directly to Chef Esther or the approved Ngesh Cuisine business account unless a separate written agreement says otherwise. No public launch, domain cutover, ad campaign, live payment integration, provider account write, or delivery dispatch should happen without explicit approval for that exact action.
Data and content protection
Materials shared for the project may be used only for approved Ngesh Cuisine work: website content, private previews, social planning, ordering workflow planning, marketing strategy, asset organization, and launch preparation.
Covered materials
- Chef portraits, food photos, event photos, videos, reels, menus, flyers, captions, testimonials, and brand files.
- Recipes, preparation notes, supplier information, pricing, margins, fulfillment rules, and business plans.
- Customer names, phone numbers, emails, event details, order details, dietary notes, delivery/pickup details, and payment status.
- PayPal, WhatsApp, Telegram, Google Drive, website, domain, delivery, advertising, or analytics access details.
Public use
Photos, videos, customer images, testimonials, partner references, venue references, logos, music, or other third-party assets should not be used publicly until permission is confirmed.
Credential handling
Passwords, API keys, tokens, verification codes, private account links, and customer payment details should not be sent in ordinary chat when a safer route is available.
Ownership and handoff
Chef Esther / Ngesh Cuisine owns the business name, recipes, food, menus, chef story, customer relationships, customer data, approved brand assets, payment accounts, and final decisions on pricing, fulfillment, refunds, service area, and customer commitments.
Ni Biashara keeps reusable code patterns, templates, workflows, methods, internal tools, and general know-how. Project-specific public site materials can be handed off if the working relationship ends, excluding secrets, private tools, unrelated reusable systems, and third-party assets that cannot legally be transferred.
Digital acceptance
This agreement may be accepted digitally. A handwritten signature is not required unless either party requests one before acceptance.
If this direction looks good, confirm and Ni Biashara will follow up by email with a PDF copy for final review and sign off.
Acceptance record
The acceptance record may include the accepting person's name, email address, role or business, date and time, document URL or file name, accepted version date, and typed acceptance or e-signature.
Digital footprint
The final record may also include email delivery history, timestamped confirmation, IP or device metadata when available, audit trail, file hash, storage location, and matching copies retained by both parties.
